End-User Terms and Conditions Revision 1

1. Introduction

These terms and conditions (“Agreement”) govern the use of the online services (“Services”) provided by Helena Biosciences, a UK-based in vitro diagnostics manufacturing company (“Provider”), and the handling of data belonging to each end-user (“User”) of the Services.2. Acceptance of Terms
By accessing and using the Services, the User agrees to be bound by these terms and conditions. If the User disagrees with any part of these terms, they should refrain from using the Services.

3. Data Collection and Usage

The User acknowledges that in order to provide the Services, the Provider will collect and process certain data, including but not limited to login credentials, contact information, and other relevant details. The User grants the Provider the right to use this data for the sole purpose of managing and maintaining the login details.

4. Security and Confidentiality

The Provider will take reasonable measures to ensure the security and confidentiality of the User’s data. However, the User understands that no online platform can be entirely secure, and the Provider shall not be held responsible for unauthorised access or data breaches beyond its reasonable control.

5. Third-Party Access

The User acknowledges that the Provider may engage third-party Services to facilitate the Services. The Provider will take reasonable steps to ensure that such third parties comply with data protection laws and maintain the confidentiality and security of the User’s data.

The following specific Services are provided by third parties:

Envoke (Demo Face Limited trading as Envoke):

Provided on behalf of Helena Biosciences as part of Helena’s Virtuoso brand. Users’ first names, last names and email addresses are collected by Helena Biosciences and passed to Demo Face Limited for the purposes of providing login to the Envoke platform. Online session data relating to authentication and session maintenance are collected directly by Envoke via the Envoke online platform. This data is housed with Google Cloud in the USA.

Users may request access to see a copy of the data held by Envoke. Users may also, upon termination of this Agreement, request that the data held by Envoke is deleted.

6. User Responsibilities

The User is responsible for maintaining the confidentiality of their login details. They agree to notify the Provider immediately of any unauthorised use of their account or any other breach of security.

7. Termination

Either party may terminate this Agreement with written notice. Upon termination, the Provider will cease using and retain the User’s data only as required by law.

8. Changes to Terms

The Provider reserves the right to modify these terms and conditions at any time. Users will be notified of such changes, and continued use of the Services after modifications constitutes acceptance of the revised terms.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
